B2B Terms for OEM/ODM Soda Maker Manufacturing and Export Projects

1. B2B Scope and Applicability

These Terms of Service apply to the website, inquiries, quotations, samples, OEM/ODM projects, and purchase orders handled by Cheersoda / Qingdao Baishigao Life Electric Appliance Co., Ltd.

These terms apply to B2B buyers only. We do not sell retail single units to individual consumers. We do not process retail checkout orders, consumer warranty claims, or marketplace after-sales requests through this website.

2. Quotations & Samples

Quotations provided are valid for the period stated on the official proforma invoice (PI) or quotation sheet. Prices may fluctuate based on raw material costs and exchange rates.

Sample fees, tooling fees, and courier costs are quoted separately unless otherwise stated in writing.

Products can be manufactured and tested according to applicable CE, RoHS, LFGB, EU FCM, FDA, or other agreed requirements when confirmed in the quotation, sample approval, or purchase order. Compliance requirements must be explicitly stated by the buyer prior to order confirmation.

3. OEM/ODM Orders and Changes

Mass production does not commence until physical or digital pre-production samples (including custom colors, logos, and packaging) are formally approved by the buyer.

After deposit payment, confirmed specifications, tooling, packaging, logo files, and production schedules cannot be changed without written approval. Additional cost or lead time caused by buyer changes shall be borne by the buyer.

4. Payment Terms

Standard payment term is T/T: 30% deposit before production and 70% balance before shipment.

For long-term approved partners, balance against copy B/L may be discussed and must be confirmed in writing on the Proforma Invoice. All bank charges, intermediary bank fees, and currency conversion costs shall be borne by the buyer unless otherwise agreed in writing.

5. Incoterms & Shipment

Trade terms may include EXW, FCA, or FOB according to the confirmed quotation or proforma invoice, interpreted under the latest version of Incoterms® (e.g., Incoterms 2020).

The named place or port must be stated in writing. The factory is not responsible for transit delays, customs clearance issues at the destination port, or demurrage charges once goods have been delivered according to the agreed Incoterm.

6. CO2 Cylinder Policy

Freight Compliance for Gas Cylinders

All CO2 cylinders are shipped 100% EMPTY to comply with international freight safety regulations. We do not ship filled CO2 cylinders or gas cartridges unless separately agreed in writing and legally permitted by respective authorities.

7. Quality & Inspection

Buyers are responsible for arranging pre-shipment inspection if required. Any visible quantity, packaging, or specification issues should be reported within 7 days after receipt of goods, with photos, videos, batch numbers, and carton markings.

Minor color, printing, packaging, or material tolerance within agreed production standards shall not be considered a defect.

8. Brand Assets & Intellectual Property

  • Buyer Assets: Buyer-supplied logos, trademarks, artwork, and packaging designs remain the buyer's property.
  • Factory Assets: Standard product structures, factory know-how, and existing model designs remain the property of our factory unless a separate written private tooling agreement states otherwise.

9. Limitation of Liability

We manufacture soda makers involving high-pressure CO2 components. We are not responsible for losses caused by:

  • Misuse or unauthorized modification by end-users.
  • The use of uncertified third-party CO2 cylinders or incompatible accessories.
  • Improper storage or transportation after the risk has transferred.
  • Failure to follow the provided safety and product manuals.
